Allgemeine Geschäftsbedingungen der Medicom Agentur
1. Geltungsbereich
1.1 Die nachstehenden Bedingungen gelten für die vereinbarten Leistungen einschließlich Beratungsleistungen, Auskünfte, Lieferungen und ähnliches sowie für im Rahmen der Auftragsdurchführung erbrachte Nebenleistungen und sonstige Nebenpflichten.
1.2 Etwaige Allgemeine Geschäftsbedingungen des Auftraggebers ein- schließlich eventueller Einkaufsbedingungen finden keine Anwendung und werden hiermit ausgeschlossen. Vertragsbedingungen des Auftraggebers werden auch dann nicht Vertragsinhalt, wenn ihnen die Medicom Agentur nicht ausdrücklich widerspricht.
2. Angebote
Alle Angebote der Medicom Agentur sind freibleibend, soweit nichts anderes vereinbart wurde.
3. Zustandekommen und Lauf- zeit von Verträgen
3.1 Der Vertrag kommt durch Unterzeichnung des Angebotsschreibens der Medicom Agentur oder eines der gesonderten Vertragsdokumente sowie Datenschutzvereinbarung und die der Vollmacht Erteilung für die weitere Bearbeitung der Mandanten / Kandidaten Dokumente durch beide Vertragsparteien oder durch Ausführung der vom Auftraggeber angeforderten Arbeiten durch Medicom Agentur zustande. Sofern der Auftraggeber der Medicom Agentur ohne vorheriges Angebot der Medicom Agentur beauftragt (Angebot), ist die Medicom Agentur in ihrem alleinigen Ermessen zur Annahme der Bestellung durch schriftliche Erklärung der Annahme (einschließlich einer solchen auf elektronischem Wege) oder durch Erbringung der beauftragten Leistungen berechtigt.
3.2 Die Vertragslaufzeit beginnt ab Zustande kommen des Vertrages gemäß Ziffer 3.1 und läuft für die im Vertrag vereinbarte Laufzeit.
3.2.1Für Auftraggeber gilt diese nach der Übergabe des Kandidaten und nach der Restlichen Zahlung nach dem 6. Monat ( Probezeit des Kandidaten)
3.2.2Für Kandidaten gilt ab der Übergabe an den Auftraggeber ( Arbeitgeber) als beendet.
3.3 Soweit der Vertrag eine Verlängerung der Laufzeit vorsieht, verlängert sich die Vertragslaufzeit jeweils um die im Vertrag vorgesehene Laufzeit, wenn er nicht sechs Wochen vor Ablauf schriftlich von einer der Vertragsparteien gekündigt wird.
3.4 Bei Prüfaufträgen ist die Medicom Agentur nicht verantwortlich für die Richtigkeit oder Überprüfung der den Prüfungen zugrunde liegenden Unterlagen oder Dokumente, soweit nicht schriftlich etwas anderes vereinbart ist.
3.5 Die Medicom Agentur hat das Recht, auch ohne ausdrückliche Zustimmung des Auftraggebers sich zur Erfüllung ihrer vertraglichen Verpflichtungen eines oder mehrerer Unterauftragsnehmer zu bedienen.
4. Leistungsfristen/-termine
4.1 Die vertraglich vereinbarten Leistungsfristen und Termine beruhen auf Schätzungen des Arbeitsumfanges aufgrund der Gesetzlichen Bedingungen und die des Kandidaten sowie die des Auftraggebers. Sie sind nur dann verbindlich, wenn sie von der Medicom Agentur schriftlich als verbindlich bestätigt werden.
4.2 Soweit Fristen verbindlich vereinbart wurden, beginnen sie erst zu laufen, wenn der Auftraggeber oder Kandidat der Medicom Agentur alle erforderlichen Unterlagen vorgelegt hat. Dies gilt analog auch für vereinbarte Termine, die sich um den Zeitraum einer von der Medicom Agentur nicht zu vertretenden
Verzögerung auch ohne ausdrückliche Zustimmung des Auftraggebers verlängern.
5. Mitwirkung
5.1 Der Auftraggeber gewährleistet, dass alle erforderlichen Mitwirkungshandlungen seinerseits, seiner Erfüllungshilfen oder Dritter rechtzeitig und für die Medicom Agentur kostenlos erbracht werden.
5.2 Für die Durchführung der Leistungen notwendige Unterlagen und Dokumente usw. sind kostenlos zur Verfügung zu stellen. Im Übrigen müssen die Mitwirkungshandlungen des Auftraggebers den jeweils gültigen Rechtsvorschriften, Normen, Sicherheitsbestimmungen entsprechen.
5.3 Der Auftraggeber trägt im falle von jeglichen Mehraufwand, der dadurch entsteht, dass die Bearbeitung infolge verspäteter, unrichtiger oder lückenhafter Angaben oder nicht ordnungsgemäßer Mitwirkungshandlungen wiederholt werden müssen. Für Kandidaten für die, die Medicom Agentur tätig ist, gilt bei Vertragsbruch oder nicht erscheinen zum Arbeitsplatz des Arbeitgebers nach einem Unterschriebenen Arbeitsverträgen mit dem Auftraggeber/Arbeitgeber die bis zu diesem Zeitpunkt entstandenen kosten sowie der Entfall der Provision des Auftraggebers / Arbeitgeber an den Kandidaten weiterzuleiten und müssen vom Kandidaten an die Medicom Agentur bezahlt werden. Ist bei der Erteilung des Auftrages der Leistungsumfang für die bis dato erfolgten Dienstleistungen und Beratungen nicht schriftlich festgelegt, erfolgt die Abrechnung nach Aufwand. Ist kein Entgelt schriftlich vereinbart, erfolgt die Abrechnung nach der zum Zeitpunkt der Leistungserbringung gültigen Preise de Medicom Agentur. Diese betragen 125.-€ netto die Stunde
Die Medicom Agentur ist auch bei Vereinbarung eines Fest oder Höchstpreises berechtigt, diesen Mehraufwand zusätzlich abzurechnen.
5.4 Der Bewerungsprozess der für die Vermittlung des Kandidaten und der zu bearbeitenden Dokumente und Einreichung der Dokumente bei Staatlichen Behörden sowie Arbeitgeber die für die Einstellung des Kandidaten erforderlich ist sind Kostenlos. Jegliche andere Dokumente wie Persönliche Diploma, Dokumente sowie die Übersetzung in die Deutsche Sprache als auch die Schulung des Kandidaten werden selbst oder vom Auftraggeber oder nach gesonderter Vereinbarung bezahlt.
6. Zahlungsbedingungen
6.1 Alle Rechnungsbeträge sind sofort ohne Abzug mit Rechnungseingang zur Zahlung fällig. Skonti werden nicht gewährt.
6.2 Die Zahlungen sind unter Angabe der Rechnungs- und Kundennummer auf das Bankkonto der Medicom Agentur, das auf der Rechnung angegeben ist, zu leisten.
6.3 Im Falle des Verzugs ist die Medicom Agentur berechtigt, einen Zinssatz in Höhe von 8 % über den Basiszinssatz der Deutschen Bundesbank zu verlangen. Gleichzeitig wird die Geltendmachung eines weitergehenden Schadens vorbehalten.
6.4 Ist der Auftraggeber mit der Begleichung der Rechnung trotz angemessener Nachfristsetzung in Verzug, so kann die Medicom Agentur vom Vertrag zurücktreten, das Zertifikat entziehen, Schadenersatz wegen Nichterfüllung verlangen und die weitere Ausführung der vertraglichen Leistungen verweigern.
6.5 Die Regelung in Ziffer 8.4 gilt eben so bei Nichteinlösung von Schecks, Zahlungseinstellung, Eröffnung des Insolvenzverfahrens gegen den Auftraggeber oder Ablehnung der Eröffnung des Insolvenzverfahrens mangels Masse.
6.6 Beanstandungen der Rechnungen der an die Medicom Agentur sind innerhalb von 2 Wochen nach Empfang der Rechnung schriftlich geltend zu machen.
6.7 Die an die Medicom Agentur ist dazu berechtigt, einen angemessenen Kostenvorschuss zu verlangen. Bei Rahmenvereinbarungen gelten dies im Vertrag aufgesetzten Zahlungs und Lieferbedingungen.
6.8 Gegen Forderungen der AMD TÜV Arbeitsmedizinische Dienste GmbH kann nur mit rechtskräftig festgestellten oder unbestrittenen Forderungen aufgerechnet werden.
7. Vertraulichkeit
7.1 "Vertrauliche Informationen” im Sinne dieser Vereinbarung sind sämtliche Informationen, Kandidaten Daten, Dokumente, Bilder, Zeichnungen, Know-How, Daten, Muster und Projektunterlagen, die während der Laufzeit dieser Vereinbarung von der einen Partei („offenbarende Partei“) an die andere Partei („empfangende Partei“) ausgehändigt, übertragen oder in sonstiger Weise offenbart werden. Dies schließt auch die Kopien dieser Informationen in Papierform und elektronischer Form ein.
7.2 Sämtliche Vertrauliche Informationen, die in schriftlicher Form übermittelt werden, sind von der offenbarenden Partei vor der Weitergabe an die empfangende Partei mit einem Hinweis auf die Vertraulichkeit zu versehen, dies gilt
auch für Vertrauliche Informationen, die per E-Mail versandt werden. Bei Ver- traulichen Informationen, die mündlich weitergegeben werden, ist eine ent- sprechende vorherige Information zu geben.
7.3 Sämtliche Vertrauliche Informationen, die gemäß dieser Vereinbarung von der offenbarenden Partei an die empfangende Partei übermittelt oder in sonstiger Weise zugänglich gemacht werden,
a) dürfen von der empfangenden Partei nur zur Erfüllung des jeweiligen Vertragszwecks genutzt werden, soweit keine abweichende ausdrückliche schriftliche Vereinbarung mit der offenbarenden Partei besteht,
b) dürfen nicht ohne Vollmacht von der empfangenden Partei vervielfältigt, verteilt, veröffentlicht oder in sonstiger Form weitergegeben werden, soweit dies nicht zur Erfüllung des Vertragszwecks notwendig ist oder die an die Medicom Agentur aufgrund gesetzlicher oder behördlicher Bestimmungen verpflichtet ist, vertrauliche Informationen, Prüfberichte und Dokumentationen an Behörden oder an im Rahmen der Vertragserfüllung beteiligte Dritte weiterzugeben,
c) müssen von der empfangenden Partei in gleicher Weise vertraulich behandelt werden, wie diese auch ihre eigenen vertraulichen Informationen behandelt, allerdings keinesfalls weniger sorgfältig, als unter Beachtung der objektiv notwendigen Sorgfalt.
7.4 Die empfangende Partei wird die von der offenbarenden Partei erhaltenen Vertraulichen Informationen nur denjenigen Mitarbeitern zugänglich machen, die diese zur Erbringung von Leistungen im Rahmen des Zwecks dieser Vereinbarung benötigen. Die empfangende Partei wird diese Mitarbeiter im gleichen Maße zur Geheimhaltung verpflichten, wie dies in dieser Vertraulichkeitsvereinbarung festgelegt ist.
7.5 Vertrauliche Informationen im Sin- ne dieser Vereinbarung sind nicht, die Informationen von denen die empfangende Partei nachweisen kann, dass
a) die Informationen im Zeitpunkt der Veröffentlichung bereits allgemein bekannt waren oder der Allgemeinheit ohne eine Verletzung dieser Vereinbarung bekannt werden, oder
b) die empfangende Partei die Informationen von einem Dritten erhalten hat, der diese berechtigter Weise an diese geben durfte, oder
c) sich die Informationen bereits vor Übermittlung durch die offenbarende Partei im Besitz der empfangenden Partei befunden haben, oder
d) die empfangende Partei die Informationen unabhängig von der Übermittlung durch die offenbarende Partei selbständig entwickelt hat.
7.6 Vertrauliche Informationen bleiben im Eigentum der jeweils offenbarenden Partei. Die empfangende Partei erteilt hiermit ihre Zustimmung dazu, jederzeit auf Aufforderung der offenbarenden Partei spätestens jedoch und ohne gesonderte Aufforderung durch diese nach Kündigung oder Ablauf dieses Vertrages unverzüglich (i) sämtliche Vertraulichen Informationen, einschließlich sämtlicher Kopien hiervon, an die offenbarende Partei zurückzugeben, bzw. auf Aufforderung dieser (ii) eine Vernichtung der Vertraulichen Informationen, einschließlich sämtlicher Kopien hiervon, vorzunehmen, und der offenbarenden Partei gegenüber schriftlich die Tatsache dieser Vernichtung zu bestätigen. Hiervon ausgenommen sind die ausschließlich zur Erfüllung der vertraglichen Verpflichtungen unter diesem Vertrag für den Auftraggeber erstellten Berichte und Bescheinigungen, die beim Auftraggeber verbleiben. an die Medicom Agentur ist bezüglich dieser und der vertraulichen Informationen die die Grundlage für die Anfertigung von diesen Berichten und Bescheinigungen bilden jedoch berechtigt, Kopien zum Nachweis der Korrektheit seiner Ergebnisse und zu allgemeinen Dokumentationszwecken zu seinen Akten zu nehmen.
7.7 Die empfangende Partei wird die Vertraulichen Informationen ab Vertragsbeginn für einen Zeitraum von 3 Jahren nach Beendigung des Vertrages streng geheim halten, keinem Dritten zugänglich machen und die Vertraulichen Informationen nicht selber nutzen.
7.8 Es gelten die weitergehenden Dokumentations- und Aufbewahrungsfristen sowie Geheimhaltungspflichten für alle Informationen, die der ärztlichen Schweigepflicht unterliegen. Darüber hinaus besteht eine Aufbewahrungspflicht nach Abnahme des Ergebnisses nicht, soweit keine diesbezüglichen gesetzlichen Verpflichtungen und/oder vertragliche Vereinbarungen bestehen.
8. Haftung
8.1 Die Medicom Agentur haftet nicht für die dem Auftraggeber Vermittelten anlässlich der gemäß vereinbarten Verträgen und Mündlich vereinbarten Vollwertigen sowie in Anerkennung befindlichen Fachkräften und Arbeitskräften.
8.2 Die Verjährung von Schadensersatzansprüchen richtet sich nach den gesetzlichen Vorschriften.
8.3 Mit den vorstehenden Regelungen ist keine Änderung der Beweislast zum Nachteil des Auftraggebers verbunden.
9. Teilunwirksamkeit, form, Gerichtsstand
9.1 Nebenabreden zu diesem Vertrag sind nicht getroffen.
9.2 Änderungen und Ergänzungen bedürfen zu ihrer Rechtswirksamkeit der Schriftform; das gilt auch für Änderungen und Ergänzungen Schriftformregelung selbst.

9.3 Im Falle der Unwirksamkeit einer oder mehrerer Bestimmungen dieses Vertrages werden die Vertragspartner eine der unwirksamen Regelung in rechtlicher und wirtschaftlicher Hinsicht möglichst nahe kommende rechtswirksame Ersatzregelung vereinbaren.
9.4 Gerichtsstand für alle Streitigkeiten im Zusammenhang mit diesem Vertrag ist der Sitzt der FIrma
9.5 Erfüllungsort ist der Ort, an dem die vereinbarten Leistungen zu erbringen sind, im Übrigen der Sitz der Medicom Agentur
